TERMS AND CONDITIONS OF USE

SECTION ONE: TERMS OF USE

Effective: March 17, 2011.

A. What is Mvpcircle?

Mvpcircle is a social networking service that allows users to share and have access to nightlife stories. Users can also create unique player profiles and circles online in order to find and communicate with other members and show off their player profiles to the world. The Mvpcircle Website includes all aspects of Mvpcircle, including but not limited to any Mvpcircle branded URL (the "Mvpcircle Website"), Mvpcircle videos, nightlife photographs, user submitted photographs, blogs, player profiles, chat, forums, store, nightclub reviews, Most Vauable Player Awards, Most Vauable Idiot Awards, Buy a Drink feature and any other Mvpcircle features, content, or applications offered from time to time by Mvpcircle.com in connection with the Mvpcircle Website. (collectively, the "Mvpcircle Services"). The Mvpcircle Services are hosted in the U.S.

B. Your Acceptance

IMPORTANT! PLEASE READ CAREFULLY. These Terms of Use constitute a legal agreement between you and Mvpcircle and spell out the terms and conditions to which users of any Mvpcircle Website are expected to adhere. Please read it carefully before using the Mvpcircle Website, because by clicking "I Agree" or by using this website, you agree to be bound by the terms set forth here, as well as (i) the terms of our Privacy Statement (ii) Copyright Policy and (iii) any supplemental terms of the applicable website, all of which are hereby incorporated by reference into these Terms of Use (collectively referred to as the "Agreement"). If you do not agree with or do not wish to be bound by all of the terms and conditions of this Agreement, do not use the Mvpcircle Website. These Terms of Use apply to the Mvpcircle Business and Mvpcircle. These include mvpcircle.com; mostvaluableplayersclub.com; mvpsocial.com and any other sites at which these Terms of Use appear. You are only authorized to use the Mvpcircle Services (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to this Agreement. Please read this Agreement carefully and save it. If you wish to become a Member, communicate with other Members and make use of the Mvpcircle Services, you must read this Agreement and indicate your acceptance during the Registration process.

This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of the Mvpcircle Services. By using the Mvpcircle Services, you agree to be bound by this Agreement, whether you are a "Visitor" (which means that you simply browse the Mvpcircle Website) or you are a "Member" (which means that you have registered with mvpcircle.com). The term "User" refers to a Visitor or a Member. These Terms of Service apply to all users of the Mvpcircle Website, including users who are also contributors of video content, information, and other materials or services on the Website.

C. Changes to Terms of Use

These Terms of Use may be modified by Mvpcircle at any time. When changes are made, we will notify you by making the revised version available on this webpage and will indicate at the top of this page the date that revisions were last made. You should revisit these Terms of Service on a regular basis as revised versions will be binding on you. Any such modification will be effective upon MVP Circle's posting of new Terms of Service. Your continued use of the Site after any posted modification to the Terms of Use indicates your acceptance of the modification. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.

D. MVP Circle Content and User Submissions

The contents of Mvpcircle, including all Sites, are intended for the personal, noncommercial use of its users. All materials published on Mvpcircle (including, but not limited to blogs, articles, photographs, images, illustrations, product descriptions, audio clips and video clips (collectively, the "Content")) are protected by copyright, trademark and all other applicable intellectual property laws, and are owned or controlled by Mvpcircle or the party credited as the provider of such Content, software or other materials. You shall abide by copyright or other notices, information and restrictions appearing in conjunction with any Content accessed through Mvpcircle.

The Mvpcircle Website is protected by copyright as a collective work and/or compilation, pursuant to Canadian copyright laws, international conventions and other copyright laws. Except as may be otherwise provided, you may not modify, adapt, translate, exhibit, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, perform, display, reverse engineer, or dissemble, or in any way exploit, any of the Content, software, materials, Sites or Service in whole or in part. Copying or storing of any Content for other than personal, noncommercial use is expressly prohibited without the prior written permission from Mvpcircle. For the avoidance of doubt, including any Content (in whole or in part) on your personal website, when it is accessible to any other person, is not a personal use and is not permitted. You agree that any information, feedback, questions, comments and/or submissions to any of the Player Profiles, Public Forums or the like that you provide to Mvpcircle in connection with any Site or our Service ("Submissions") will be deemed to be provided to us on a non-confidential and non-proprietary basis and will become and remain Mvpcircle’s property. Mvpcircle has no obligations of any kind with respect to any Submissions and shall be free to reproduce, use, disclose and/or distribute any Submissions for any purpose whatsoever, without limitation. You also agree that Mvpcircle is free to use any ideas, concepts or techniques embodied in the Submissions for any purpose whatsoever, including, but not limited to, developing, manufacturing, and marketing products or services incorporating such ideas, concepts, or techniques. In addition, you hereby waive all moral rights you may have in any materials uploaded or sent to Mvpcircle by you.

E. Forums and Discussions

Mvpcircle makes available forums, message boards, and/or news groups to its users ("Public Forum(s)"). You shall not upload to, or distribute or otherwise publish through a Public Forum any content which is libelous, defamatory, obscene, pornographic, profane, sexually explicit, abusive or which otherwise violates any law, rule or regulation. Please use your best judgment and be respectful of other individuals using the Public Forums. You agree not to use vulgar, abusive or hateful language. Public Forums within the Site and the Services available therein are provided to give our users an interesting and stimulating forum in which they may express opinions and share ideas. Mvpcircle does not endorse the opinions placed on these Public Forums. You acknowledge that any Submissions may be reproduced, published, transmitted and displayed by Mvpcircle in any manner.

The Public Forums are used by you only in a noncommercial manner. You cannot, without the express approval of Mvpcircle, use the Public Forums to distribute or otherwise publish any material containing any solicitation of funds, advertising or solicitation for goods or services, or to promote Websites or online services that are competitive with Mvpcircle and the Services. You agree that you will not submit any ideas for stories, features, designs, scripts, merchandise or publication of any type.

While we do not and cannot review every message posted by users in the Public Forums and are not responsible for the content of any of these messages, Mvpcircle reserves the right to delete, move or edit messages that we, in our sole discretion, deem are in violation of the law (including trademark and copyright law), or these Terms of Service, or are abusive, defamatory, obscene or otherwise unacceptable. You remain solely responsible for the content of your messages.

F. Third-Party Websites

The Mvpcircle Website may contain links to third party websites that are not owned or controlled by Mvpcircle. Mvpcircle has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, Mvpcircle will not and cannot censor or edit the content of any third-party site. By using the Website, you expressly relieve Mvpcircle from any and all liability arising from your use of any third-party website. Accordingly, Mvpcircle encourages you to be aware when you leave the Mvpcircle Website and to read the terms and conditions and privacy policy of each other website that you visit.

G. MVP Circle User Accounts

In order to access some features of the Website, you will have to create an Mvpcircle User account (User Account). You may never use another’s account without permission. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify Mvpcircle immediately of any breach of security or unauthorized use of your account.

i. How We May Use Your Content

You grant MVP Circle the irrevocable right to use your content for any purpose, including but not limited to the right to reformat it, edit it, publish it (e.g. on the MVP Wall of Game), associate it with your account name, incorporate it into other works, create derivative works from it, distribute it, and promote it. You grant Mvpcircle’s users and the users of any Other Media the irrevocable right to access your Content (including but not limited to your photos) in connection with their use of MVP Circle. Any photos you upload are subject to being rated by other users on Mvpcircle. If you do not want your photos rated by other users then do not upload your photos to Mvpcircle. You irrevocably waive, and cause to be waived, any claims and assertions of moral rights or attribution with respect to your content.

Mvpcircle and its licensees may display advertisements and other information adjacent to or included with your content on the Website. You are not entitled to any compensation for such advertisements. The manner, mode and extent of such advertising are subject to change without specific notice to you.

ii. Your Liability

Although Mvpcircle will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Mvpcircle or others due to such unauthorized use. Please choose carefully the information you post on MVP Circle and that you provide to other Users. Your MVP Circle profile may not include the following items: telephone numbers, street addresses, and any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, information provided by other mvpcircle.com Members (for instance, in their Player Profile or Circle) may contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and MVP Circle assumes no responsibility or liability for this material. If you become aware of misuse of the MVP Circle Services by any person, please contact MVP Circle and you can report any appropriate content.

iii. Password

When you sign up to become a Mvpcircle Member, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify Mvpcircle immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

iv. Eligibility

Use of and Membership in the Mvpcircle Services is void where prohibited. By using the Mvpcircle Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 14 years of age or older; and (d) your use of the Mvpcircle Services does not violate any applicable law or regulation. Your profile may be deleted and your Membership may be terminated without warning, if we believe that you are under 14 years of age.

v. Term

This Agreement shall remain in full force and effect while you use the MVP Circle Services or are a member. You may terminate your Membership at any time, for any reason, by following the instructions on the Member's Account Settings page. MVP Circle may terminate your Membership at any time, without warning. Even after Membership is terminated, this Agreement will remain in effect.

vi. Fees

You acknowledge that Mvpcircle reserves the right to charge for any portion of the Mvpcircle Services and to change its fees (if any) from time to time in its discretion. If Mvpcircle terminates your Membership because you have breached the Agreement, you are not be entitled to the refund of any unused portion of fees or payments (if any).

H. MVP Circle Online Store

You may only order MVP Circle products if, and you hereby represent and warrant that, you are domiciled in Canada or the United States and you are 18 years old or older. You agree to pay in full the prices for any purchases you make either by credit/debit card concurrent with your online order or by other payment means acceptable to the Company. You agree to pay all applicable taxes. If payment is not received by MVP Circle from your credit or debit card issuer or its agents, you agree to pay all amounts due upon demand by us. You agree that you are not permitted to resell any products purchased through this Website for commercial purposes.

Among other things, the Company provides information concerning various products and services and the opportunity to obtain additional information concerning those products and services or to purchase them. These Terms and the information provided by the Company in no way override the terms and conditions of your purchase of any product or service except as specifically provided herein.

All prices displayed on the Website are quoted in Canadian Dollars. The Company may restrict delivery to addresses within the United States and Canada. The Company will add shipping and handling fees and applicable sales/taxes as necessary. The Company reserves the right without prior notice to discontinue or change specifications and prices on products and services offered on the website without incurring any obligation to you. Products displayed on the Website are available while supplies last. The receipt by you of an order confirmation does not constitute the Company’s acceptance of an order. Prior to the Company’s acceptance of an order, verification or information may be required. The Company reserves the right at any time after the receipt of your order to accept or decline your order, or any portion thereof, even after your receipt of an order confirmation from the Company, for any reason. The Company reserves the right to limit the order quantity on any item and to refuse service to any customer without prior notification. In the event that a product or service is listed at an incorrect price due to supplier pricing information or typographical error, the Company shall have the right to refuse or cancel orders placed for the product listed at the incorrect price, regardless of whether the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchased and your order is canceled, the Company shall promptly issue a credit to your credit card account in the amount of the incorrect price.

I. General Use of MVP Circle—Permissions and Restrictions

Subject to the restrictions in these Terms of Use, Mvpcircle grants you permission to use the Website, including the ability to: (a) create a player profile and create a circle(s), (b) chat on instant messenger (I.M.), (c) read, write, and comment on reviews about nightclubs, (d) announce what you are doing (e.g. “shout” feature), (e) post messages or comments on the Website, (f) send messages to other Users, and (g) invite people you know to register with MVP Circle, (g) buy people drinks "buy drink" feature, (h) give people Most Valuable Player and Most Valuable Idiot awards.

Mvpcircle reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of the Mvpcircle Services at any time, for any or no reason, with or without prior notice, and without liability.

Mvpcircle hereby grants you permission to access and use the Website as set forth in these Terms of Use, provided that:

1. You agree not to distribute in any medium any part of the Website without Mvpcircle's prior written authorization.

2. You agree not to alter or modify any part of the Website, including but not limited to Mvpcircle’s related technologies; and

3. You agree not to use the Website, including Mvpcircle video and written content for any commercial use, without the prior written authorization of Mvpcircle. Prohibited commercial uses include any of the following actions taken without MVP Circle's express approval:

sale of access to the Website or its related services (such as Mvpcircle’s videos, photos, blog entries, comments, or merchandise) on another website;
use of the Website or its related services (such as Mvpcircle’s videos, photos, blog entries, comments or merchandise), for the primary purpose of gaining advertising or subscription revenue;
the sale of advertising, on the Mvpcircle website or any third-party website, targeted to the content of specific User Submissions or Mvpcircle content;
and any use of the Website or its related services (such as Mvpcircle’s videos, blog entries, comments or merchandise) that Mvpcircle finds, in its sole discretion, to use Mvpcircle's resources or User Submissions with the effect of competing with or displacing the market for Mvpcircle, Mvpcircle content, or its User Submissions.

Prohibited commercial uses do not include:

uploading an original photo or video to Mvpcircle, or maintaining an original account on Mvpcircle, to promote your business or artistic enterprise;
using Mvpcircle content on an ad-enabled blog or website, provided the primary purpose of using the Mvp circle content is not to gain advertising revenue or compete with Mvpcircle; or
any use that Mvpcircle expressly authorizes in writing.

If you use Mvpcircle’s content on your website, you must include a prominent link back to the Mvpcircle website on the pages containing Mvpcircle’s content and you may not modify, build upon, or block any portion of Mvpcircle’s content in any way.

If you use the Mvpcircle Uploader, you agree that it may automatically download and install updates from time to time from Mvpcircle. These updates are designed to improve, enhance and further develop the Uploader and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit Mvpcircle to deliver these to you) as part of your use of the Uploader.

You agree not to use or launch any automated system, including without limitation, "robots," "spiders," or "offline readers," that accesses the Website in a manner that sends more request messages to the Mvpcircle servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Notwithstanding the foregoing, Mvpcircle grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. Mvpcircle reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the Website, nor to use the communication systems provided by the Website (e.g. comments, email) for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any users of the Website with respect to their User Submissions.

In your use of the Website, you will otherwise comply with the terms and conditions of these Terms of Use, Mvp circle’s Privacy Policy, Mvpcircle’s Copyright Policy, and all applicable local, national, and international laws and regulations.

Mvpcircle reserves the right to discontinue any aspect of the Mvpcircle Website at any time.

J. Proprietary Rights in Content on Mvpcircle

Mvpcircle does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, applications, or any other materials (collectively, "Content") that you post on or through the Mvpcircle Services. After posting your Content to the Mvpcircle Services, you continue to retain any such rights that you may have in your Content, subject to the limited license herein. By displaying or publishing ("posting") any Content on or through the Mvpcircle Services, you hereby grant to Mvpcircle a limited license to use, modify, delete from, add to, publicly perform, publicly display, reproduce, and distribute such Content solely on or through the Mvpcircle Services, including without limitation distributing part or all of the Mvpcircle Website in any media formats and through any media channels, except Content marked “private” will not be distributed outside the Mvpcircle Website. This limited license does not grant Mvpcircle the right to sell or otherwise distribute your Content outside of the Mvpcircle Services. After you remove your Content from the Mvpcircle Website we will cease distribution as soon as practicable, and at such time when distribution ceases, the license will terminate. If after we have distributed your Content outside the Mvpcircle Website you change the Content’s privacy setting to “private,” we will cease distribution of such “private” Content outside the Mvpcircle Website as soon as practicable after you make the change.

K. Content Posted

Mvpcircle may reject, refuse to post or delete any Content for any or no reason, including Content that in the sole judgment of Mvpcircle violates this Agreement or which may be offensive, illegal or violate the rights of any person or entity, or harm or threaten the safety of any person or entity. Mvpcircle assumes no responsibility for monitoring the Mvpcircle Services for inappropriate Content or conduct. If at any time Mvpcircle chooses, in its sole discretion, to monitor the Mvpcircle Services, Mvpcircle nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User submitting any such Content.

L. Member Disputes.

You are solely responsible for your interactions with other Mvpcircle Members. Mvpcircle reserves the right, but has no obligation, to become involved in any way with disputes between you and other Members.

K. Privacy

Use of the Mvpcircle Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference.

L. Your Use of Content on the Mvpcircle

In addition to the general restrictions above, the following restrictions and conditions apply specifically to your use of content on the Mvpcircle Website.

The content on the Mvpcircle Website, except all User Submissions (as defined below), including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like ("Content") and the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to Mvpcircle, subject to copyright and other intellectual property rights under the law. Content on the Website is provided to you AS IS for your information and personal use only and may not be downloaded, copied, modified, produced, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, translated, published, performed or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Mvpcircle reserves all rights not expressly granted in and to the Website and the Content.

ii. You may access User Submissions solely:

for your information and personal use;
as intended through the normal functionality of the Mvpcircle Service; and
for Streaming.

"Streaming" means a contemporaneous digital transmission of an audiovisual work via the Internet from the Mvpcircle Service to a user's device in such a manner that the data is intended for real-time viewing and not intended to be copied, stored, permanently downloaded, or redistributed by the user. Accessing User Videos for any purpose or in any manner other than Streaming is expressly prohibited. User Videos are made available "as is."

iii. User Comments are made available to you for your information and personal use solely as intended through the normal functionality of the Mvpcircle Service. User Comments are made available "as is", and may not be used, copied, modified, produced, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, downloaded, translated, published, performed or otherwise exploited in any manner not intended by the normal functionality of the Mvpcircle Services or otherwise as prohibited under this Agreement.

iv. You may access Mvpcircle’s Content, User Submissions and other content only as permitted under this Agreement. Mvpcircle reserves all rights not expressly granted in and to the Mvpcircle Content and the Mvpcircle Services.

v. You agree to not engage in the use, copying, or distribution of any of the Content other than expressly permitted herein, including any use, copying, or distribution of User Submissions of third parties obtained through the Website for any commercial purposes.

vi. You agree not to circumvent, disable or otherwise interfere with security-related features of the Mvpcircle Website or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Mvpcircle Website or the Content therein.

vii. You understand that when using the Mvpcircle Website, you will be exposed to User Submissions from a variety of sources, and that Mvpcircle is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Mvpcircle with respect thereto, and agree to indemnify and hold Mvpcircle, its Owners/Operators, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the site.

N. Your User Submissions and Conduct

As a Mvpcircle account holder (or user), you may submit video content ("User Videos") and textual content ("User Comments"). User Videos and User Comments are collectively referred to as "User Submissions." You understand that whether or not such User Submissions are published, Mvpcircle does not guarantee any confidentiality with respect to any User Submissions.

You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: you own or have the necessary licenses, rights, consents, and permissions to use and authorize Mvpcircle to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions and have all necessary consents to collect, use and disclose any personally identifiable information contained or displayed in any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service.

For clarity, you retain all of your ownership rights in your User Submissions. However, by submitting User Submissions to Mvpcircle, you hereby grant Mvpcircle a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Mvpcircle Website and Mvpcircle's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Mvpcircle Website (and derivative works thereof) in any media formats and through any media channels. You also hereby waive any moral rights you may have in your User Submissions and grant each user of the Mvpcircle Website a non-exclusive license to access your User Submissions through the Website, and to use, reproduce, distribute, display and perform such User Submissions as permitted through the functionality of the Website and under these Terms of Service. The above licenses granted by you in User Videos terminate within a commercially reasonable time after you remove or delete your User Videos from the Mvpcircle Service. You understand and agree, however, that Mvpcircle may retain, but not display, distribute, or perform, server copies of User Submissions that have been removed or deleted. The above licenses granted by you in User Comments are perpetual and irrevocable.

In connection with User Submissions, you further agree that you will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner and the necessary consents from any individuals whose personally identifiable information is contained in such material to post the material and to grant Mvpcircle all of the license rights granted herein.

Mvpcircle does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and Mvpcircle expressly disclaims any and all liability in connection with User Submissions. Mvpcircle does not permit copyright infringing activities and infringement of intellectual property rights on its Website, and Mvpcircle will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights or contravenes any applicable privacy legislation. Mvpcircle reserves the right to remove Content and User Submissions without prior notice.

O. Account Termination Policy

Mvpcircle will terminate a User's access to its Website if, under appropriate circumstances, the User is determined to be a repeat infringer.

Mvpcircle reserves the right to decide whether Content or a User Submission is appropriate and complies with these Terms of Service for violations other than copyright infringement or privacy law, such as, but not limited to, hate crimes, pornography, obscene or defamatory material, or excessive length. Mvpcircle may remove such User Submissions and/or terminate a User's access for uploading such material in violation of these Terms of Service at any time, without prior notice and at its sole discretion.

P. Copyright Policy

Mvpcircle operates a clear copyright policy in relation to any User Submissions that are alleged to infringe the copyright of a third party.

As part of Mvpcircle's copyright policy, Mvpcircle will terminate user access to the Website if a user has been determined to be a repeat infringer. A repeat infringer is a user who has been notified of infringing activity more than twice.

Q. Warranties, Disclaimers, and Limitations of Liability

THE SITE AND ALL SITE CONTENT IS MADE AVAILABLE TO YOU ON AN "AS IS" BASIS. MVP CIRCLE'S MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CAUSES WHATSOEVER, AND REGARDLESS OF THE FORM OF ACTION (WHETHER SUCH LIABILITY ARISES DUE TO NEGLIGENCE, BREACH OF CONTRACT, MISREPRESENTATION OR FOR ANY OTHER REASON), WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (I) THE AMOUNT PAID, IF ANY, BY YOU TO MVP CIRCLE IN CONNECTION WITH THE SITE IN THE 12 (TWELVE) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY OR (II) CANADA $100.00.

The Website is controlled and offered by Mvpcircle from its facilities in Canada. Mvpcircle makes no representations that the Website is appropriate or available for use in other locations. Those who access or use the Mvpcircle Website from other jurisdictions do so at their own volition and are responsible for compliance with local law.

R. Indemnity

You agree to defend, indemnify and hold harmless Mvpcircle, its parent corporation, officers, directors, employees and agents, from and against any and all claims, demands, causes of action, damages, obligations, losses, liabilities, costs or debt, and expenses, (including but not limited to reasonable legal fees) arising from: (i) your use of and access to the Mvpcircle Website; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, intellectual property, or privacy right; or (iv) any claim that one of your User Submissions caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of the Mvpcircle Website.

S. Ability to Accept Terms of Use

T. Assignment

These Terms of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Mvpcircle without restriction.

U. General
You agree that: (i) the Mvpcircle Website shall be deemed solely based in Ontario, Canada; and (ii) the Mvpcircle Website shall be deemed a passive website that does not give rise to personal jurisdiction over Mvpcircle, either specific or general, in jurisdictions other than Ontario. Unless prohibited by local law, these Terms of Use are governed by the internal substantive laws of the province of Ontario, without respect to its conflict of laws principles. Unless prohibited by local law, any claim or dispute between you and Mvpcircle that arises in whole or in part from the Mvpcircle Website shall be decided exclusively by a court of competent jurisdiction located in Ontario, Canada. Your use of the Mvpcircle Website following any amendment of these Terms of Service will signify your assent to and acceptance of its revised terms. TO THE MAXIMUM EXTENT PERMITTED BY LOCAL LAW, YOU AND MVPCIRCLE AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE MVP CIRCLE WEBSITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Dissatisfaction. If you are dissatisfied with the Website, please let us know by providing feedback to the Mvpcircle staff through our contacts page. Your input is valuable to us. Your only other remedy with respect to any dissatisfaction with (i) the Site, (ii) the Terms of Use, (iii) any policy or practice of Mvpcircle in operating the website, or (iv) any content or information transmitted through the website, is to terminate the Terms of Use and close your account. If you would like your content to be taken down the Website, please let us know and we will take it down.

V. Language

The parties confirm that it is their wish that this agreement, as well as any other documents relating to this agreement, including notices, schedules and authorizations have been and shall be drawn up in the English language only. W. Other

This Agreement is accepted upon your use of the Mvpcircle Website or any of the Mvpcircle Services and is further affirmed by you becoming a Member. This Agreement constitutes the entire agreement between you and Mvpcircle regarding the use of the Mvpcircle Services. The failure of Mvpcircle to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

SECTION TWO: PRIVACY POLICY

A. Why Your Privacy is Important to Us

Mvpcircle is committed to making it simple for you to share your nightlife stories to your friends. At the same time we want to give you control over what information you wish to share with people. We believe you should have control over your personal information that you put on the website. For example, if you want your real name to be privatized then just uncheck the ‘Display Real Name publically’ box in your player profile under your personal information. Furthermore, we allow you to use an alias so that you do not have to put your real name on the website. If you choose to create a circle, we allow you to privatize your circles that you create so that this information does not have to be released to the public. At the same time, it is important that you have access to other peoples information as well.

B. Who the Privacy Policy Applies to

This Privacy Policy applies to the services offered by Mvpcircle, including any Mvpcircle branded URL (the “Mvpcircle Website”), the Mvpcircle Chat, Wall of Game, videos, photos, forums, nightclubs reviews and other features related to the Mvpcircle Services. This includes but is not limited to any other features, content, or applications offered from time to time by Mvpcircle in connection with the Mvpcircle Website (collectively, the “Mvp circle Services”).

The Mvpcircle Services are hosted in United States. If you are located outside the United States, you expressly agree that Personal Information and Related Data will be transferred to the United States for the purposes set out in this Privacy Policy as a result of your using the Mvpcircle Services.

C. The Information We Collect

When you visit Mvpcircle you provide us with two types of information: (1) Personal information, and (2) Website use information. Personal information is information that you knowingly choose to disclose that is collected by us. Web Site use information is information that is collected by us as you interact with our Web Site.

i. Personal Information

You can view videos, photos, blogs, bar reviews, player profiles, circles, and forums on Mvpcircle without having a Mvpcircle Account. You also can contact us through the Contact Section on Mvpcircle at http://www.mvpcircle.com/contact or http://www.mvpcircle.com/staff or by emailing us directly without having to register for an account.

For some activities on Mvpcircle, participating in hot nightlife related topics in the forum, buying drinks, giving awards, reviewing the hottest nightclubs, and having your own player profile, private messaging members and adding members as friends, you need a Mvpcircle Account. We ask for some personal information when you create an account, including your email address and a password, which is used to protect your account from unauthorized access. When you register with Mvpcircle, you provide us with certain personal information, such as your name, email address, gender, and any other personal or preference information that you provide to us. You may, of course, decline to submit personal information through Mvpcircle, in which case you can still view videos and explore Mvpcircle, but Mvpcircle may not be able to provide certain services to you.

Mvpcircle collects your email address, first and last name, in order to register you as a Member (“Registration Data”). Mvpcircle cannot register you as a Member without this information. All other information you provide during the Mvpcircle registration or that you post on the Mvpcircle website is voluntary. Mvpcircle may also collect personal information from you if you choose to participate in Mvpcircle Services activities like sweepstakes, contests, and surveys, because you want us to furnish you with products, services, newsletters, or information, or in connection with content or suggestions you submit to Mvpcircle for review.

ii. Website Use Information

In addition, Mvpcircle collects other Related Data including IP address, aggregate user data, and browser type. This data is used to manage and improve the Mvpcircle Services, track usage, and for security purposes.

Mvpcircle Members may also choose to provide or store non-personal information and Related Data in their profiles, including but not limited to date of birth, postal code, interests, hobbies, lifestyle choices, groups with whom they are affiliated (schools, companies), videos and/or pictures, private messages, bulletins or personal statements (collectively “Profile Information”). The Profile Information in a Member’s profile is provided at his or her sole discretion. Please be aware that your Profile Information, as well as any information posted to any public forum, can be accessed by the public. Profile Information located on private profiles can be accessed by Mvpcircle at all times and, in limited cases, by certain third parties authorized by Mvpcircle for purposes of ensuring compliance with Mvpcircle’s Terms of Use.

Mvpcircle determines the purposes of collection, use and disclosure of the Registration Data you provide and, as such, is considered the data controller of this information. Because the Member, not Mvpcircle, determines the purposes for which Profile Information is collected, used and disclosed, Mvpcircle is not the data controller of Profile Information that Members provide on their profile.

When a Member chooses to post Profile Information that will be publicly disclosed, that Member is responsible for ensuring that such information conforms to all local data protection laws. Mvpcircle is not responsible under any data protection laws for Member posted information.

D. Usage Information

When you use Mvpcircle, we may record information about your usage of the site, such as the channels, groups and favorites you subscribe to, which other users you communicate with, the videos you watch, the frequency and size of data transfers, and information you display about yourself as well as information you click on in Mvpcircle. If you are logged in, we may associate that information with your Mvpcircle Account. When you enter Mvpcircle, we collect your browser type and IP address. This information is gathered for all Mvpcircle visitors. In addition, we store certain information from your browser using "cookies." A cookie is a piece of data stored on the user's computer tied to information about the user. We use session ID cookies to confirm that users are logged in. These cookies terminate once the user closes the browser. By default, we use a persistent cookie that stores your login ID (but not your password) to make it easier for you to login when you come back to MVP Circle. You can remove or block this cookie using the settings in your browser if you want to disable this convenience feature.

You post User Content on the Site at your own risk. Although we allow you to set privacy options that limit access to your pages, please be aware that no security measures are perfect or impenetrable. We cannot control the actions of other Users with whom you may choose to share your pages and information. Therefore, we cannot and do not guarantee that User Content you post on the Site will not be viewed by unauthorized persons. We are not responsible for circumvention of any privacy settings or security measures contained on the Site. You understand and acknowledge that, even after removal, copies of User Content may remain viewable in cached and archived pages or if other Users have copied or stored your User Content.

Any improper collection or misuse of information provided on Mvpcircle is a violation of the Mvpcircle Terms of Use and should be reported through the contact section.

If you choose to use our invitation service to tell a friend about our site, we will ask you for information needed to send the invitation, such as your friend's email address. We will send your friend an email or instant message in your name inviting him or her to visit the site, and may send up to two reminders to them. Mvpcircle stores this information to send invitations and reminders, and to register a friend connection if your invitation is accepted. Your friend may contact us through the content section to request that we remove this information from our database.

Mvpcircle may also collect information about you from other sources, such as comments, blogs, instant messaging services, and other users of the Mvpcircle service through the operation of the service (e.g., writing the names of people in the description section of Mvpcircle videos) in order to provide you with more useful information and a more personalized experience. By using Mvpcircle, you are consenting to have your personal data transferred to and processed in the United States.

E. Children Under Age 14

The Mvpcircle Website is a general audience site and does not knowingly collect or solicit personal information from anyone under the age of 14 or knowingly allow such persons to register. If you are under 14, please do not attempt to register for Mvpcircle or send any information about yourself to us, including your name, address, telephone number, or email address. No one under age 14 may provide any personal information to or on Mvpcircle. Your Mvpcircle Account user name, not your email address, is displayed to other users when you engage in certain activities on Mvpcircle, such as when you post comments or send messages through Mvpcircle. Any videos that you submit to Mvpcircle may be redistributed through the internet and other media channels, and may be viewed by other Mvpcircle users or the general public. You may also choose to add personal information which may include your name, gender, profile picture or other details, that will be visible to other users on Mvpcircle. If you choose to add certain features to your Mvpcircle Account page, then these features and your activity associated with these features will be displayed to other users and may be aggregated and shared with your friends or other users.

In order to locate other Mvpcircle Members that you may already know in the physical world, Mvpcircle allows Users to search for Members using Registration Data (i.e., full name or email address). Mvpcircle also allows Users to browse for certain Profile Information in order to help connect with Members. Mvpcircle may also enable Members to publicly display some Registration Data as an element of their Profile Information if they choose to do so via a profile setting under “Edit Profile.” Search engines may index the portion of a Member’s profile (including the Profile Information it contains) that is publicly displayed.

If you have consented to receive promotional materials (e.g., newsletters) or notifications from Mvpcircle, Mvpcircle may periodically use your emailaddress to send yousuch materials related to the Mvpcircle Services, as applicable. If you want to stop receiving such materials from Mvpcircle, you can contact us through the contact section on Mvpcircle.

G. Third Parties

When you use Mvpcircle, certain information you post or share with third parties (e.g., a friend or someone in your network), such as personal information, comments, messages, photos, videos, or other information, may be shared with other users in accordance with the privacy settings you select. All such sharing of information is done at your own risk. Please keep in mind that if you disclose personal information in your profile or when posting comments, messages, photos, videos, or other items, this information may become publicly available.

Let us have contact information so that we can get in touch with you (email address is preferred). Let us have the contact information which we can pass on to the submitter of the video concerned, so that they can get in touch with you to resolve your complaint directly (email address is preferred).
